

Management & Conduct of Affairs of the Company
Premier as your CSP will provide its longstanding experience and services as your registered agent for the provision of registered office, company secretary, company meetings and resolutions, nominee shareholder/ Director, Powers of Attorney, Opening of Bank Accounts in Seychelles and overseas, Apostille of company documents.
Conduct of affairs of the company is dealt with in consultation with and advice from your expert Agent within the established norms of confidentiality and non-disclosure as provided by law and within the norms of international treaties.
Winding-up and Dissolution
· Failure to pay Annual License fees are most common reasons for companies to be struck off the register.
· For reasons of inability to pay its debts or by resolution of Directors for voluntary winding up or for reasons in accordance with the general trend of corporate dissolution in western jurisdictions, a Liquidator will be appointed. The Liquidator shall publish the dissolution in Seychelles newspapers and liquidate the company. No referral or sanction of any Court of Law is required. SIBA must be informed.
NON-DISCLOSURE AND CONFIDENTIALITY
Premier will maintain in full confidentiality and subject to International Treaties, the Share Register which contains names of shareholders and number of shares, copies of minutes of meeting and resolutions. There are no legal obligations to register these at SIBA. The use of nominees also ensures anonymity of the beneficial owners. Thus full confidentiality.
The public records of the IBC kept by SIBA are The Memorandum and Articles of Association, the Certificate of Incorporation, Notices on increase or decrease of Share Capital, Proof of Payment of Annual Licence Fees and name of the Registered Agent (CSP). These are the only documents available for public inspection. Other information such as Nominee Shareholders and Directors, their beneficial owners, Mortgages and transactions of the IBC are kept under full confidentiality by the CSP and are not available for public inspection.

You will notice that we as your CSP and Agent require full disclosure of shareholders/Directors/beneficial owners of the IBC. (Due Diligence Form) The law requires that we know our client. The information you provide us are privileged and confidential. It shall not be made public and shall be kept on our records for you only subject to provisions of International Treaties.
