INTERNATIONAL BUSINESS COMPANY (IBC)

Purpose
It is designed for trade outside the Seychelles jurisdiction, but it may be used also for management of assets, wealth and business overseas and to secure other corporate advantages/incentives/exemptions, but unlike other domestic companies, offshore companies operate under utmost confidentiality.  Thus an ideal instrument for international  investment, trade and financial transactions. The owner gets no publicity thus confidentiality in the operations of its undertakings.

Name
By law the name must contain Latin alphabet letters. Characters like Chinese and Japanese are not accepted unless translated into English or French.  After the end of the name one of the following must be added:- Limited, Incorporated, Corporation, Societe Anonyme or their abbreviations or other suffixed abbreviations such as Pte, Bv, Bhd, LIC, GmbH, SARL, Ltd, SA, or AG.  The following words may not be used unless licensed by the Registrar (Seychelles International Business Authority - S.I.B.A): Bank, Insurance, Trusts, Financial Institutions or names related to the above including Asset, Fund and Investment Management.  Names that imply Government, International Organisations and even Parastatal Firms are not permitted.

Shareholders And Directors
The minimum of one shareholder who may also act as director is required.  The Director may be of any nationality and domicile, an individual or a body corporate. The IBC’s public records do not disclose this confidential information which is kept by your Agent Premier Offshore.

Memorandum And Articles Of Association
These documents contain the list of objects, business activities and trade which will be undertaken by the Company and the regulations for the management of the Company.

Share Capital
There is no minimum or maximum share capital required.  It is up to the client to decide on the type of shares and the number of shares to be issued.  The minimum is one share.  Shares may be issued in any currency.

An IBC may issue ordinary shares, preferred shares, limited, redeemable shares, or bearer shares entitling participation in a specific asset only.

Certificate Of Incorporation
Upon incorporation of the company (I.B.C) the Seychelles International Business Authority (S.I.B.A) issues the Certificate of Incorporation, stamped Memorandum and Articles of Association.  These are the only public document of the Company.
